MTV MOVIE AWARDS 2005 CONTEST


TERMS & CONDITIONS OF PARTICIPATION

These Terms and Conditions consist of the General Terms and Conditions of Participation and the Terms and Conditions Specific to Types of Prizes, and shall apply to the MTV Movie Awards 2005 Contest (the "Contest"). By participating in this Contest, you agree to be bound by the following Terms and Conditions, and any terms and conditions applicable to the use of MTV's websites.

MTV Asia LDC reserves the right to amend, revise, delete, edit, add to and/or withdraw these Terms and Conditions and the prizes to be awarded at any time without notice, in which event, MTV Asia LDC shall have no liability whatsoever to any person and/or entity as a result thereof.

This agreement is governed by the laws of Singapore.



GENERAL TERMS AND CONDITIONS OF PARTICIPATION

Participants will stand the chance of winning prizes from the Sponsors. Please see the additional Terms and Conditions specific to the Types of Prizes set out below, applicable to specific types of prizes to be won. Where there is any inconsistency between the General Terms and Conditions set out immediately below and the specific terms and conditions indicated as applicable to each type of prizes, the terms and conditions applicable to the specific type of prizes shall apply.

The Contest is open to all legal residents, aged 16 and above, of the following countries: Singapore, Malaysia, Indonesia, Philippines, India, Thailand, China, Hong Kong, Taiwan and Australia.

All entries must be received by MTV Asia LDC on or before 5pm in Singapore on 30 April 2005, or at participating Sony outlets ("Collection Centres") designated by Sony Electronics Asia Pacific Pte Ltd ("SEAP") during their respective operational hours. Proof of sending is not proof of receipt. Incomplete entries will be disqualified. For the avoidance of doubt, SEAP will not collate, store nor use any personal particulars set out in any entries submitted at Collection Centres, except as provided herein. Entries submitted at Collection Centres are at the participants' own risk. SEAP shall not be liable for the safe custody, and/or delivery to MTV Asia LDC of entries submitted at Collection Centres, and SEAP hereby disclaims any liability in relation to the foregoing.

Employees of MTV Asia LDC, SEAP and the respective subsidiaries, divisions, affiliates, authorized dealers/distributors, agents and their immediate families are not eligible to enter the Contest. MTV Asia LDC reserves the right to disqualify any such person from receipt of any prize and/or require the return of any such prizes awarded. In such an event, MTV Asia LDC reserves the right to redraw a new winner for the prize and/or dispose of the prize in any manner it deems fit, at its sole discretion.

The judging of the contest entries will be held on 5 May 2005. All winners will be notified by post, electronic mail, telephone call or other modes of communication in accordance with the particulars provided by the participant during registration. MTV Asia LDC shall not be responsible for any inaccuracy in any information, and/or personal or contact particulars provided by the participant, and shall not be liable for any such errors or any loss suffered by the participant as a result thereof. All personal information provided by the participant, by way of entries submitted by mail, at collection centres or online shall be used for the purpose of identifying and contacting winners of the Contest, and kept safely and confidentially for such period as reasonably required.

All prizes not collected within fourteen (14) days from the date of notification of win shall be disposed of at MTV Asia LDC's sole discretion. MTV Asia LDC's decision regarding the award of all prizes, and/or in every situation including any not covered in these Terms and Conditions, shall be final and binding on all participants in the contest, and no queries, challenges or appeals may be made or entertained regarding MTV Asia LDC's decision on the same. The receipt by any winner of any prize under this Contest is conditional upon compliance with any and all applicable laws, rules and regulations. Where required by MTV Asia LDC, winners shall be required to complete official release forms about the participants' copyright to the contest entries prior to the receipt of the relevant prize, failing which MTV Asia LDC reserves the right to forfeit the prize and dispose of the same as it deems fit.

Prizes are non-transferable and not exchangeable for cash, unless otherwise specified herein. There shall be no substitution of prizes except as determined solely by MTV Asia LDC in its sole discretion. In the event MTV Asia LDC is unable to provide the stated prize, MTV Asia LDC reserves the right to award a prize of equal or greater value. All prizes are subject to the terms and conditions of the manufacturer or supplier.

All winners shall be responsible for any additional costs, insurance, duties, taxes, licenses, permits, approvals and/or other incidental expenses which may be incurred as a result of and/or related to the winner's acceptance of the said prize(s), including but not limited to any registration fees, maintenance costs, connection or airtime charges incurred for the use of any of the prizes.

MTV Asia LDC, SEAP and the respective subsidiaries, divisions, affiliates, authorized dealers/distributors, agents, officers and/or employees shall not be liable for any claims, damage, injuries and/or loss (including but not limited to any indirect and/or consequential damage or loss) suffered by any of the winners in the course of their acceptance, use or enjoyment of any prize.

MTV Asia LDC, SEAP and their respective subsidiaries, divisions, affiliates, authorized dealers/distributors, agents, officers and/or employees shall not be liable for any safe custody, return, non-delivery or missing of entries, late, misdirected or unavailable network, server or other connections or technical failures. With regards to entries submitted online, in the event of any corruption, disruption and/or other failure of the administration and/or security of the server as a result of any virus, bug or other cause beyond MTV Asia LDC's control, MTV Asia LDC reserves the right to cancel and/or suspend the Contest in respect of the same.

By submitting the contest entries, each participant thereby (a) specifically authorizes MTV to use and/or license third parties to use such entry in whole or in part, throughout the universe, in perpetuity in or on any and all media, now known or hereafter devised, and alone or together or as part of other information, content and/or material of any kind or nature; (b) represents and warrants that all elements contained in the contest entry (i) is original to the participant or fully cleared for use as contemplated herein, (ii) does and will not, in any way, violate or breach any of the terms of any other agreement the participant may be a party to, (iii) does not contain libelous, tortious, or otherwise unlawful information, infringe or violate any copyright or other right, or contain any matter the publication or sale of which will violate any federal or state statute or regulation, (iv) is not obscene or in any other manner unlawful, and (v) shall not require MTV to pay or incur any sums to any person or entity as a result of MTV's use or exploitation of the same; and (c) his acknowledges his awareness and consent to all the terms and conditions contained hereof.

Acceptance of any prize shall constitute consent on the winner's part to allow the use of the winner's name, image, voice and/or likeness by MTV Asia LDC and SEAP for editorial, advertising, promotional, marketing and/or other purposes without further compensation except where prohibited by law.

Acceptance of any prize shall constitute a release and discharge of MTV Asia LDC and SEAP by each winner (and/or their guests/invitees) from any and all liability, claims, demands, causes of action, and/or damages which the winner may have, whether known or unknown at the present time, of any nature whatsoever, arising out of or relating to: (i) the Contest, (ii) personal injury and/or property damage, theft or loss suffered by the winner as a result of the use and/or enjoyment of the prize, and/or (iii) any tax liabilities in relation to the Contest, prize and/or use or enjoyment of the same.

The winner will receive a single set of prizes, made up of a Sony DVD Handycam and a paid trip to attend the MTV Movie Awards. The set of prize must be issued together to the winner.

All unclaimed sponsored prizes will be donated to a charity organization appointed by MTV Asia LDC.



TERMS AND CONDITIONS SPECIFIC TO THE TYPES OF PRIZES

Win a Sony DVD Handycam :
Prizes are non-transferable and not exchangeable for cash, unless otherwise specified herein. There shall be no substitution of prizes except as determined by SEAP in its sole discretion. In the event SEAP is unable to provide the stated prize, SEAP reserves the right to award a prize of equal or greater value.

Win an all-expense paid trip to attend the MTV Movie Awards 2005 in Los Angeles, USA

One prize of one (1) ticket to the MTV Movie Awards 2005, plus return airfare for one (1), transportation to and from the airport, hotel accommodation and travel allowance (amount to be determined at MTV Asia LDC's sole discretion) shall be awarded to each winner from the participating countries. The winners shall each be responsible for ensuring that they have the necessary visas, valid passports and any other necessary approvals or travel documents to allow them to travel to and stay in Los Angeles, USA, on and/or during the dates as specified by MTV Asia LDC at its sole discretion, failing which, MTV Asia LDC shall be entitled to forfeit the entire set of prizes, require the return of the same and dispose of the prizes in any manner it deems fit.

In the event MTV Asia LDC is unable to provide the stated prize, MTV Asia LDC reserves the right to award a prize of similar value.

All prizes awarded must be collected by the winners within fourteen (14) days of the notification, failing which MTV Asia LDC shall be entitled to forfeit and dispose of the same in any manner it deems fit.
